TERMS AND CONDITIONS
These Terms and Conditions ("Terms") govern your use of the services
provided by Thrivedge Edutech Private Limited (hereinafter referred to
as “Edviron/ "Company"), a company based in India having its registered
office at 1127, Sector 52, Ardee Mall, Gurgaon, Haryana, 122011, India.
By accessing or using Edviron’s services, you agree to be bound by the
terms and conditions set forth in these Terms. These Terms constitute a
binding agreement, and they govern your use of the website
www.edviron.com and such other products developed by Edviron in future.
Throughout this document, we use the terms “we”, “us” and “our'' to
refer to Edviron and the terms “you”, “user” and “your” to refer to you,
the user of Edviron’s platform. These Terms are in addition to and not
in derogation of any other terms stipulated by us from time to time. In
case of any conflict between these Terms and such other terms, these
Terms will prevail. These Terms are an electronic record in terms of the
Information Technology Act, 2000 and rules made thereunder as
applicable. The Terms are (i) published in accordance with the
provisions of Rule 3(1)(a) of the Information Technology (Intermediary
Guidelines and Digital Media Ethics Code) Rules, 2021 and (ii) generated
by a computer system and does not require any physical, electronic, or
digital signatures. These Terms refer to and include our Privacy Policy
available here. We may amend these Terms, update the platform and modify
the services (at any time) to improve your experience on our platform
and on account of changes in applicable laws. So, please check this page
regularly to take note of any such changes. If you do not agree with
these Terms or any change made by us, you have the option to stop using
our services.

1. Use of Services

1.1. By accessing Edviron’s platform and/or availing the services
offered by us, you confirm that you are above 18 (Eighteen) years
of age and have the legal capacity to enter into a binding
contract as specified under the Indian Contract Act, 1872

1.2. You agree to use Edviron's services in compliance with
applicable laws and regulations. You are solely responsible for
any content you upload, transmit, or display through Edviron's
platform.

1.3. You acknowledge that Edviron's services are provided on an
"as-is" and "as available" basis. Edviron does not guarantee the
uninterrupted or error-free operation of its services.

1.4. Edviron reserves the right to modify, suspend, or terminate
its services at any time without prior notice. Edviron shall not
be liable to you or any third party for any modification,
suspension, or termination of the services.

2. Services Provided
-
2.1. Services for Schools
2.1.1. Edviron partners with schools, colleges, and other
educational institutes (hereinafter referred to as “School(s)”) to
provide technical support for fee collection. This includes the
provision of a dashboard that enables the educational institutes
to access and manage data related to fee collection.

2.1.2. To initiate the partnership with Edviron, the School shall
complete the onboarding process as per Edviron’s requirements for
providing the services. As part of this process, the School is
required to sign the necessary agreements with Edviron and such
other relevant documents as required by Edviron from time to time,
wherever required.

2.1.3. Edviron collects student databases from the School, which
contains various fields essential for fee collection and
management. These fields may include student information, contact
details, class/grade information, parent information, email ids,
WhatsApp contact and any other relevant data required for
effective fee collection.

2.1.4. Edviron utilizes the collected information to set up a
School's dashboard. This dashboard, provided by Edviron, allows
the School to access, monitor, and manage data related to fee
collection efficiently.

2.1.5. Edviron collects a payment from the School as specified in
the relevant agreement for its services
(“Service Fee(s)”). This payment may include the setup
fees, maintenance fees, or any other agreed-upon charges.

2.1.6. It is important to note that Edviron does not provide any
financial services or payment aggregation services. Edviron solely
acts as a technical support provider, assisting educational
institutes in managing and facilitating the fee collection process
effectively.

2.1.7. In the event where any additional payments are made to
Edviron such as payments being made twice for the same installment
or additional installments, the additional money shall be adjusted
in the next payment cycle. It is to be clarified that no refunds
shall be made to the Users and/or Parents.

2.2. Services for Parents
2.2.1. Edviron facilitates the fee collection process by sending
payment links to the parents' mobile numbers when the fee is due
for a particular student. This helps streamline the payment
process and provides convenience to parents.

2.2.2. Edviron enables parents to conveniently make fee payments
through various online and offline payment methods. Parents are
required to submit their payments using the selected payment
method directly to the School.

2.2.3. Automated Payment Reminders

2.2.3.1. Edviron initiates the automated payment reminder
process by sending reminders to parents through its back-end
system. These reminders include relevant details of the
student, such as their name and fee information. Additionally,
each reminder contains a unique payment link embedded within
it, which is specific to each parent and sent to their
registered WhatsApp number, SMS, email or any other such
methods.

2.2.3.2. Upon clicking on the payment link, parents are
redirected to our secure parent portal. The parent portal
displays the children associated with the parent's registered
mobile number as the primary contact number at the school.

2.2.3.3. After reviewing the payment details, parents can
proceed with the payment by following the necessary steps in
the parent portal. Upon clicking the payment button, parents
will be securely redirected to a third-party payment platform.
This platform enables parents to make payments directly to the
school's designated account.

2.2.3.4. Edviron may charge the Parents/ legal guardians a
processing/ service fees for facilitating them with online
payment services through Edviron’s platform. For the sake of
clarity, this processing fees/ service fees may be collected
from the parents/ legal guardians for each payment installment
made by such parents/ legal guardians, which shall be
determined by Edviron at its sole discretion

2.2.3.5. If the payment is successfully processed, Edviron
generates an automatic fee receipt. The fee receipt is sent to
parents on their registered WhatsApp number or any such other
mode serving as proof of payment.

2.2.4. Offline Payments

2.2.4.1. If a parent chooses to make the fee payment through
any of the offline options such as cash cheques or demand
draft, they are required to submit the payment directly to the
School. The School, in turn, can update the transaction
details on Edviron platform/dashboard using the "collect fee"
feature. This feature allows the School to accurately record
and maintain a comprehensive payment history for each student.

2.2.4.2. Edviron does not handle or process the offline
payments directly. Any issues or discrepancies regarding the
offline payments should be addressed with the School, as
Schools are responsible for managing the collection and
recording of these payments on Edviron platform.

3.Privacy and Data Protection

3.1. Collection and Use of Student Information
3.1.1. Edviron collects student information from the School, as
provided by the School, for the purpose of facilitating fee
collection and management services. This information includes but
is not limited to student names, contact details, class/grade
information, and any other relevant data necessary for fee
collection.

3.1.2. Edviron relies on the accuracy and completeness of the
information provided by the School. Edviron is not responsible for
any inaccuracies or errors in the student information provided by
the School.

3.2. Data Security and Storage
3.2.1. Edviron takes the security and protection of your data
seriously. All data collected from the School is stored in a safe
and secure manner in accordance with applicable laws and
regulations in India

3.2.2. Our Privacy Policy: Please carefully review our Privacy
Policy as it provides detailed information on how we manage your
data when you use our services. It is important to note that you
must agree to the Privacy Policy before using our services.

3.2.3. Third Party Access: Both Edviron and our third-party
service providers may utilize your data, including financial
information, to enhance our services. This may involve the use of
anonymous and aggregated financial information for analytical
research, performance tracking, benchmarking, or the publication,
distribution, or licensing of aggregated and anonymous research
data for any lawful purpose.

3.2.4. While we make every effort to maintain the security of your
data, it is important to understand that transmissions over the
internet cannot always be guaranteed as completely secure.
Therefore, you are responsible for safeguarding your mobile
device, phone number, one-time passwords, login credentials, and
any other information used to access our services. If you fail to
take necessary precautions and unauthorized use of your account
occurs, you will be responsible, within the limits imposed by law,
for any associated losses.

3.2.5. Edviron implements appropriate technical and organizational
measures to protect against unauthorized access, disclosure,
alteration, or destruction of the collected data.

3.3. Consent and Data Sharing
3.3.1. The School, being directly connected to the parents and
students, is responsible for obtaining any necessary consent for
the processing and sharing of student information with Edviron.

3.3.2. Edviron relies on the School's representation that they
have obtained the necessary consents from parents or guardians
under the relevant applicable laws for the processing and sharing
of student information.

3.3.3. Edviron does not assume any responsibility for obtaining
parental consent or managing the direct relationship between the
School, parents, and students. Any data made available to Edviron
is shared by the School, and the School assumes responsibility for
obtaining appropriate consents for the processing of such
information.

3.4. Purpose Limitation
3.4.1. Edviron processes the student information received from the
School solely for the purpose of providing the services.

3.4.2. Edviron does not use any student information for any other
purpose without the consent of the School or as required by law.

3.5. Data Retention
3.5.1. Edviron retains the collected student information for as
long as necessary to fulfill the purposes outlined in this clause
or as required by applicable laws and regulations.

3.5.2. Upon termination of the services or as requested by the
School, Edviron will securely delete or anonymize the student
information in its possession.

4. Unauthorized Use of the Platform

4.1. If you suspect or believe that your account has been accessed
without your permission, it is crucial to notify us immediately.

4.2. We take unauthorized access seriously and will promptly
investigate any reported instances. By notifying us promptly, you
enable us to take appropriate action to safeguard your account and
address any potential security concerns.

5. Your Relationship with Edviron

5.1. Connection Factor
-
5.1.1. You acknowledge that Edviron’s relationship is
primarily with the School and not directly with parents or any
students. The School acts as the connecting factor between
Edviron and the parents/students.

5.1.2. As per the agreement between Edviron and the School,
the School has agreed to avail the services of Edviron on
behalf of the parents and students. Therefore, all
responsibilities, including but not limited to obtaining
necessary consents of the parents/ students, ensuring accurate
information, and managing the direct relationship with parents
and students, lie with the School.

5.2. Payment Processing

5.2.1. Edviron utilizes a payment partner approved by the
Reserve Bank of India (RBI) for securely processing payments.

5.2.2. Edviron's role is limited to providing technical
support and facilitating the payment process, but it is not
directly involved in the processing of payments.

5.3. It is hereby clarified that Edviron is not engaged in any
payment aggregation service.
-
5.4. Edviron solely provides technical support and assistance to
the School for fee collection and management. The fee paid by the
parent is entirely for the School's services, and Edviron's
Service Fee is separate from the fee paid by the parent to the
School.

5.5. Any concerns, disputes, or inquiries regarding the fee
structure or payment arrangements should be directed to the
School, Edviron is not responsible for the financial agreements or
transactions between the School and the parent.

5.6. Any issues or disputes regarding processing of payments
should be raised with the relevant payment partner or the School,
as applicable. Edviron will provide the necessary details and
support through its designated support email id:

6. Intellectual Property Rights

6.1. Edviron Intellectual Property: All content on Edviron's
platform, including but not limited to name, proprietary
information, data, documentation, technology, methods,
methodologies, processes, know-how, templates, software code,
trademarks, service marks, logo, color, fonts, trade names,
registered designs, copyrights, rights of privacy, personality and
publicity and other forms of intellectual proprietary rights or
industrial property, confidential or secret processes, trade
secrets, other proprietary materials, whether or not copyrighted,
trademarked, ideas, inventions (whether patentable or not), any
other protected rights or assets and any licenses and permissions
in connection therewith, in each and any part of the entire world
and whether or not registered or registrable and for the full
period thereof, and all extensions and renewals thereof, and all
applications for registration in connection with the foregoing
(collectively, "Edviron’s IP"), constitutes our intellectual
property. We retain all rights, title, and interest in Edviron’s
IP.

6.2. Limited License: We grant you a limited, non-transferable,
non-sublicensable, and revocable license to access our platform
and utilize its features solely for your personal, lawful
requirements. This license does not permit you to duplicate,
reverse engineer, distribute, create derivative works of, display,
or commercially exploit Edviron’s IP, features, or facilities,
whether directly or indirectly.

6.3. Trademarks: The trademarks, logos, and service marks
displayed on our platform ("Trademarks") are either owned by us or
respective third parties. Unauthorized use of the Trademarks is
strictly prohibited without our prior consent or the consent of
the third party that may own the Trademarks.

6.4. Intellectual Property Rights: You acknowledge and agree that
all intellectual property rights associated with Edviron’s IP and
its content, including but not limited to copyright, trademarks,
patents, trade secrets, and other proprietary rights, are
protected by applicable intellectual property laws.

6.5. Enforcement of Rights: We reserve the right to enforce our
intellectual property rights to the fullest extent permitted by
law. Any unauthorized use or infringement of our intellectual
property may result in legal action and claims for damages or
other remedies.

7. Disclaimer of Warranties

7.1. You expressly understand and agree that your use of Edviron's
services is at your sole risk. The services are provided on an
"as-is" and "as available" basis. Edviron makes no warranties or
representations of any kind, whether express or implied, regarding
the accuracy, reliability, completeness, suitability, or
availability of the services.

7.2. Edviron acts as a technical support provider for fee
collection and management. While Edviron strives to provide
accurate and reliable services, it does not warrant or guarantee
the effectiveness, accuracy, or reliability of the fee collection
process or any other aspect of its services.

7.3. Edviron may provide links to third-party websites or
services. These third-party services are not under Edviron's
control, and Edviron makes no warranty or representation regarding
their quality, accuracy, or reliability. Any use of third-party
services or reliance on any information, materials, or content
provided by third parties is done at your own risk.

7.4. Edviron does not provide any financial services or payment
aggregation services. Edviron solely acts as a technical support
provider and does not warrant or guarantee the performance,
reliability, or security of any payment aggregator services or any
third parties involved in the payment process.

7.5. Edviron does not guarantee that its services will be
uninterrupted, error-free, or free from viruses or other harmful
components. While Edviron takes reasonable measures to maintain
the security and availability of its services, it cannot guarantee
the absence of technical issues, downtime, or disruptions.

8. Indemnification

8.1. You agree to indemnify, defend, and hold harmless Edviron and
its officers, directors, employees, agents, affiliates, and
licensors from and against any and all claims, liabilities,
damages, losses, costs, expenses, or fees (including reasonable
attorneys' fees) arising out of or in relation to:

8.1.1. Your access or use of our services, including but not
limited to any actions or activities conducted through your
account.

8.1.2. Your breach of these Terms or the Privacy Policy,
including any representations made while using the platform
and/or services.

8.1.3. Your improper use of our platform and/or services,
including but not limited to any violation of applicable laws,
regulations, or third-party rights.

8.1.4. Your breach of any agreements or obligations with the
School or any other third parties associated with the services
provided by Edviron.

8.1.5. Any claim or dispute between you and the School,
payment partners, or any other third parties arising from your
use of our platform and/or services.

8.1.6. Any claim or dispute relating to the accuracy,
completeness, or legality of the student information provided
by the School.

8.1.7. Any claim or dispute relating to the payment
processing, including but not limited to any issues or
discrepancies with payments made through the platform.

8.1.8. Any claim or dispute relating to the use, storage, or
protection of personal data or information collected by
Edviron.

8.2. You agree to cooperate fully in the defense of any such
claims and to promptly provide Edviron with any information or
documentation necessary for the defense of such claims. Edviron
reserves the right to assume exclusive defense and control of any
matter subject to indemnification by you, and you shall not settle
any claim without the prior written consent of Edviron.

9. Limitation of Liability

9.1. You agree that access and use of our services is at your own
risk. Under no circumstances shall Edviron be liable for any
indirect, incidental, consequential, special, punitive, or
exemplary damages, including but not limited to damages for loss
of profits, goodwill, use, data, or other intangible losses,
arising out of or in connection with the use or inability to use
the services or any other matter relating to the services.

9.2. To the fullest extent permitted by applicable law, the
maximum liability of Edviron and its officers, directors,
employees, agents, affiliates, and licensors, for any claims,
damages, losses, or expenses arising out of or in connection with
the use of Edviron's services shall be limited to INR 10,000
(Indian Rupees ten thousand).

9.3. The limitations and exclusions of liability set forth in this
clause are fundamental elements of the agreement between Edviron
and you. You acknowledge and agree that Edviron would not provide
the services without such limitations and exclusions of liability.

9.4. You acknowledge and agree that the limitations of liability
specified in this clause reflect the allocation of risk between
the parties and that the limitations will apply even if any
limited remedy specified in the terms and conditions fails in its
essential purpose.

10. Termination
-
10.1. Edviron reserves the right to terminate the services
provided to you at any time, for any reason, and without advance
notice. Edviron may cease providing you with any services, or
impose new or additional limits on the services, without prior
notification. However, Edviron will always notify you when legally
required to provide updates regarding any changes to the services.

10.2. Edviron may terminate, suspend, or restrict your access to
certain or all features of its platform if you engage in any
suspicious, illegal, fraudulent, immoral, or similar activities.
Edviron retains the right to request additional information,
documents, or data from you as may be required from time to time
for the purpose of conducting business, due diligence, enhanced
due diligence, or any other lawful purposes. Failure to comply
with such requirements may result in the suspension, termination,
or restriction of your account by Edviron for an indefinite
period.

10.3. Upon termination, your access to Edviron's platform will
cease immediately. Any rights, licenses, or permissions granted to
you under the Terms will be terminated, and you must cease all use
of the services.

10.4. The termination of services does not affect the validity or
enforceability of any provisions that, by their nature, are
intended to survive termination.

11. Governing Law and Arbitration

11.1. These Terms and any actions related to them shall be
governed by the laws of the applicable jurisdiction. Any
interpretation, validity, or dispute arising from or related to
these Terms or the use of the platform and services provided by
Edviron shall be determined in accordance with applicable law.

11.2. Any disputes, controversies, or claims arising out of or
relating to these Terms, the platform, or the services shall be
referred to and finally resolved through arbitration. The
arbitration proceedings shall be conducted in accordance with the
provisions of the Arbitration and Conciliation Act, 1996, and any
amendments or modifications thereof.

11.3. The arbitral tribunal shall consist of a sole arbitrator
appointed by Edviron and you mutually. The arbitrator shall be
impartial and independent, and their decision shall be final and
binding on all parties.

11.4. The seat and venue of the arbitration shall be in Gurugram,
Haryana, India, unless otherwise agreed upon by the parties in
writing. The arbitration proceedings shall be conducted in
English. Each party shall bear its own expenses and costs related
to the arbitral proceedings, unless otherwise stated in the
arbitral award.

12. Opt-Out Option
-
12.1. You have the option to opt out of using Edviron's services
at any time by notifying us in writing or through the designated
opt-out mechanism provided on the platform. Upon opting out, your
access to the services will be discontinued, and your account will
be deactivated. Please note that opting out may result in the loss
of certain features or functionalities provided by Edviron.

13. Communication

13.1. By using our platform, you consent to receive communications
from us electronically. We may contact you via WhatsApp, email,
push notifications (on the platform), SMS and/or any other modes,
if necessary. You agree that all electronic communications satisfy
legal requirements and are considered in writing. Please keep us
informed of any changes to your contact information.

14. Customer Support and Grievance Redressa

14.1. We take grievances seriously and are committed to addressing
them in a prompt and fair manner. If you have any complaints or
grievances regarding our services or any other aspect of our

15. Force majeure

15.1. Edviron shall not be liable to you for any damage or loss
due to a deficiency in provision of the services resulting
directly or indirectly from acts of nature, forces, or causes
beyond our reasonable control, including, without limitation,
internet failures, computer equipment failures, telecommunication
equipment failures, or any other government regulations, floods,
pandemic, storms, electrical failure, civil disturbances, riots.

16. General Provisions

16.1. Assignment: You shall not assign or transfer any
right or obligation that has accrued to you under these Terms, and
any attempt by you to assign or transfer such rights and
obligations, shall be null and void. We may assign or transfer any
right or obligations that accrued in our favour, at our sole
discretion, without any restriction.

16.2. Waiver: Unless otherwise stated expressly, any delay
or failure in our exercising any rights/remedies arising out of
these Terms and/or other policies available on our platform, shall
not constitute a waiver of rights or remedies and no
single/partial exercise of any rights or remedies, hereunder,
shall prevent any further exercise of the rights/remedies by us.

16.3. Survival: You acknowledge that your representations,
undertakings, and warranties and the clauses relating to
intellectual property, indemnities, limitation of liability,
governing law & arbitration shall survive the efflux of time and
the termination of these Terms.

16.4. Severability: If any provision of these Terms is
held illegal or unenforceable, the validity, legality and
enforceability of the remaining provisions contained herein shall
not in any way be affected or impaired thereby. Any such provision
held invalid, illegal or unenforceable shall be substituted by a
provision of similar import reflecting the original intent of the
parties to the extent permissible under the applicable laws. If
